Job Description:
- Assist in preparation and filing of corporate documents, company formations, entity dissolutions, obtaining EINs and any necessary state filings.
- Draft internal documents such as operating agreements, bylaws, closing memos and meeting notes.
- Support corporate attorneys in preparing and handling acquisition documents.
- Conduct due diligence and gather relevant information for corporate transactions.
- Prepare due diligence and lien search memos.
- Manage and track progress for all acquisition transactions.
- Monitor and review transactional documents for the purpose of preparing and updating closing checklists.
- Manage preparation, assembly and compilation of documents in advance of closing and coordinate execution.
- Compile closing binders and circulate to necessary parties.
- Communicate regularly with attorneys regarding the status of projects and deadlines and inform attorneys of any issues as they arise.
- Administer and maintain a corporate database containing all subsidiaries for real-time availability of accurate and current corporate data and documents.
- Assist with Corporate Transparency Act filings.
- Research applicable state law regarding health care laws and other matters.
- Organize research so that it is easily accessible and understandable.
- Monitor changes to government guidelines and submit reports on pertinent changes.
- Maintain legal memoranda on regulatory requirements.
- Liaise with internal executives and staff at all levels.
- Provide administrative support to General Counsel and other attorneys in the legal department.
