Senior Commercial Counsel

This position is listed on behalf of a partner company, who manages all applications and next steps. Our partner is looking for a Senior Commercial Counsel based in the United States.

This is an opportunity to join a mission-driven legal team supporting the transformation of healthcare through secure, scalable data connectivity.
The role will serve as a trusted legal partner to the commercial organization, with a primary focus on negotiating and closing customer and vendor agreements efficiently and thoughtfully.
You’ll work closely with sales and cross-functional business teams while balancing commercial objectives, legal risk, and business priorities.
Reporting directly to the General Counsel, you’ll have broad exposure to commercial, compliance, employment, and other corporate legal matters.
The position also offers the opportunity to improve contracting workflows, develop knowledge-management systems, and introduce self-service solutions that increase efficiency.

Accountabilities:

• Draft, review, and negotiate complex commercial agreements, including customer-facing contracts and vendor agreements.

• Partner closely with the sales organization to negotiate and close deals at pace while managing acceptable levels of legal and commercial risk.

• Act as a trusted legal advisor to business teams, translating complex legal considerations into clear, practical guidance.

• Support contracting operations by identifying opportunities to streamline workflows, improve efficiency, and introduce self-service contracting options.

• Capture and document legal and commercial learnings to build a scalable knowledge-management system for future team members.

• Provide legal support across additional business areas as needed, including compliance, customer success, employment matters, and other corporate legal functions.

• Collaborate with the General Counsel and cross-functional stakeholders to establish practical legal processes and decision-making frameworks.

• Use AI-enabled tools to improve the efficiency of contract drafting, review, research, and knowledge management.

Requirements:

• 5+ years of experience independently drafting, reviewing, and negotiating complex commercial contracts.

• Strong legal writing and communication skills, with the ability to explain complex contractual concepts clearly and concisely.

• Demonstrated commercial judgment and business acumen, with the ability to balance legal risk against business objectives.

• Strong judgment and comfort operating in ambiguous situations where established precedent may not exist.

• Ability to work autonomously, make sound decisions, and operate within parameters established with leadership.

• Excellent prioritization skills and the ability to focus on the highest-impact work across a demanding caseload.

• Proven ability to build trusted relationships with cross-functional stakeholders and customers.

• Intellectual curiosity and a problem-solving mindset, with a focus on finding practical solutions rather than simply identifying legal issues.

• Confidence to ask questions and seek input while maintaining self-awareness about when to independently push forward.

• Ability to operate with urgency and adaptability in a fast-moving environment.

• Collaborative, team-oriented approach and willingness to contribute wherever support is needed.

• Fluency with AI tools such as Claude, particularly for improving contract drafting, review, and knowledge-management workflows.

• Experience working directly with a sales organization is highly preferred.

• SaaS experience is a plus but not required.

• Working knowledge of HIPAA is a strong plus but not required.

• Proficiency with Microsoft Word, including redlining functionality, and Zoom.

• Familiarity with Salesforce and LinkSquares is preferred.

• Must be eligible to work in the United States and reside and work in the continental U.S.
