GENERAL COUNSEL (1099 CONTRACTOR)

The General Counsel serves as AFI's legal advisor and strategic legal partner, providing leadership and oversight for the Company's legal affairs, risk management efforts, and Compliance, Litigation & Insurance (CLI) team.

This position is responsible for advising executive leadership on legal strategy, regulatory compliance, litigation management, insurance-related matters, corporate governance, employment law, contract administration, and real estate transactions. The General Counsel will work closely with AFI's CLI stakeholders to identify and mitigate risk, coordinate legal responses, guide business decisions, and support the timely resolution of compliance, litigation, insurance, and other high-risk matters impacting the organization.

The ideal candidate combines strong legal expertise with practical business judgment and possesses significant experience supporting real estate, property management, multifamily housing, investment, financial, or related business operations.

This is a 1099 independent contractor position and is not a W-2 employment opportunity. The selected professional will maintain independent contractor status and exercise independent professional judgment in the manner and means of providing legal services. JOB DUTIES

• Serve as AFI's principal legal advisor on matters impacting business operations, acquisitions, financing, compliance, litigation, insurance, employment practices, and risk management.
• Provide strategic legal guidance to executive leadership regarding operational initiatives, growth strategies, and regulatory compliance requirements.
• Support and oversee AFI's Compliance, Litigation & Insurance (CLI) program and associated risk-management activities.
• Review, draft, negotiate, and revise contracts, management agreements, leases, vendor agreements, settlement agreements, and other legal documents.
• Advise on multifamily housing operations, landlord-tenant issues, Fair Housing compliance, and real estate regulatory matters.
• Lead legal due diligence efforts related to acquisitions, dispositions, refinancing, ownership restructurings, and strategic transactions.
• Manage litigation matters, administrative proceedings, government inquiries, claims, and disputes while coordinating with outside counsel as appropriate.
• Provide guidance regarding employment law, workplace investigations, personnel matters, and human resources compliance.
• Assist with insurance claims, liability matters, EPLI claims, incident investigations, and risk resolution efforts.
• Develop legal strategies designed to minimize organizational risk while supporting operational and financial objectives.
• Assist with corporate governance matters, entity management, compliance filings, and corporate record maintenance.
• Monitor changes in applicable federal, state, and local laws and provide recommendations to maintain compliance.
• Develop policies, procedures, legal resources, and risk-management protocols designed to strengthen operational consistency.
• Conduct training and educational sessions for company leadership and staff on legal, compliance, employment, Fair Housing, and risk-management topics.
• Collaborate with AFI leadership, department heads, property ownership groups, insurance carriers, brokers, regulators, and outside counsel to drive resolution of CLI matters.
• Provide periodic reporting and strategic recommendations regarding legal exposure, emerging risks, and organizational compliance initiatives.

QUALIFICATIONS

• Juris Doctor (J.D.) degree from an accredited law school.
• Active license to practice law in at least one U.S. jurisdiction and in good standing.
• Minimum of 10 years of legal experience, with significant experience in real estate law, multifamily housing, corporate law, commercial transactions, employment law, litigation management, insurance matters, or related practice areas.
• Experience serving as General Counsel, Associate General Counsel, Fractional General Counsel, Partner, Senior Counsel, or lead legal advisor preferred.
• Demonstrated experience advising executive leadership on complex legal, operational, and strategic business matters.
• Strong working knowledge of multifamily housing operations, real estate transactions, Fair Housing compliance, landlord-tenant law, employment law, insurance matters, and corporate governance.
• Experience managing litigation and coordinating outside counsel across multiple jurisdictions.
• Ability to balance legal risk with practical business objectives and operational realities.
• Excellent written, verbal, negotiation, and interpersonal communication skills.
• Strong analytical, organizational, and problem-solving abilities.
• Ability to maintain strict confidentiality and exercise sound professional judgment.
• Experience developing policies, compliance programs, training materials, and risk-management initiatives preferred.
• Must provide two to three professional references.
