Who We’re Looking ForAs Legal Counsel at Batbox, you’re a practical problem-solver who can translate legal issues into clear, business-focused guidance. You’ll help manage Batbox’s day-to-day legal needs, strengthen our contracts and legal processes, and support the company’s continued growth across the U.S. and LATAM.

Based in Dallas and reporting to the Chief Executive Officer, this office-based part-time (up to 20 hours a week) role covers commercial contracts, corporate governance, intellectual property, compliance, employment support, and strategic transactions. You’ll work closely with internal teams and outside counsel to draft and negotiate agreements, support entity management, coordinate IP protection, identify legal risks, and assist with fundraising and other business transactions.

Your ImpactCommercial Contracts

• Draft, review, and negotiate routine and moderately complex commercial agreements, including: Licensing agreements, Brand partnership and sponsorship agreements, Vendor, service, and installation contracts, Non-disclosure and agreements.
• Support the review and negotiation of venue leases, management agreements, and other complex commercial arrangements.
• Work with internal stakeholders to understand business needs, identify legal risks, and move agreements toward completion.
• Coordinate with outside counsel on specialized, international, or higher-risk agreements as needed.

Corporate Governance & Entity Management

• Support the day-to-day administration of Batbox Holdings and its subsidiaries.
• Prepare routine board consents, resolutions, and other corporate documents.
• Coordinate required corporate filings and maintain organized legal and governance records.

Intellectual Property & Brand Protection

• Work with external intellectual property counsel to coordinate trademark, patent, and copyright registrations in the U.S. and LATAM.
• Maintain organized records of Batbox’s intellectual property registrations and renewal deadlines.

Compliance & Policies

• Review and update legal documents and customer-facing policies, including: Privacy policies, Website terms and conditions, Booking terms and waivers, Licensing program documents
• Identify potential legal issues involving consumer protection, privacy, technology, advertising, and coordinate specialized advice when needed.

Labor & Employment Support

• Support the Chief People Officer with routine employment compliance questions, employee relations matters, and workforce documentation.
• Identify matters requiring specialized employment counsel and coordinate with outside counsel on disputes, claims, and higher-risk decisions.
• Draft, review, and negotiate contractor and consulting agreements.

Fundraising & Strategic Transactions

• Support the CEO, Finance team, and outside counsel with fundraising and other strategic transactions.
• Coordinate NDAs, data rooms, due-diligence requests, closing materials, and related legal records.
• Assist Finance and outside counsel with documentation involving SAFEs, convertible notes, and equity financings.

Legal Operations & Outside Counsel

• Act as the primary internal point of contact for outside counsel and coordinate legal matters across the business.
• Maintain contract templates, legal records, matter trackers, and key renewal dates.
• Identify opportunities to simplify legal workflows, improve templates, and use outside-counsel efficiently.

Keys to Success

• A law degree and an active license to practice law in at least one U.S. jurisdiction, with eligibility to practice as in-house counsel in Texas.
• 4–6 years of legal experience in a law firm, in-house legal department, or a combination of both, focused on corporate, transactional, or commercial matters.
• Experience independently drafting, reviewing, and negotiating routine and moderately complex commercial agreements.
• Sound judgment in identifying legal and business risks and knowing when outside or specialized counsel is needed.
• Experience partnering with internal stakeholders and coordinating effectively with outside counsel.
• Practical experience supporting corporate governance, entity management, compliance, licensing, and intellectual property matters.
• Working knowledge of U.S. labor and employment law; experience supporting a Texas-based workforce is preferred.
• Experience working in-house or with a high-growth, private equity-backed, or venture-backed company is an asset.
• Strong written and verbal communication skills, with the ability to translate legal issues into practical business guidance.
• Strong attention to detail and the ability to manage multiple priorities in a fast-paced, growing company.
