Corporate Counsel (Employment & Litigation)

Rain is seeking to hire an attorney who has experience working on a range of employment-law matters and on litigation matters that are relevant to the Company’s lines of business and operations (e.g., contractual disputes or other issues with service providers). In addition, the attorney in this position will be responsible for supporting the Company’s Procurement team, working on a diverse range of contracts with the Company’s service providers.

The attorney in this position will report directly to the Company’s General Counsel. On some matters, the attorney in this position may be reporting to, and working together with, the Company’s Senior Counsel.

The position is designed to be Corporate Counsel, with opportunities for advancement and promotion in the Company’s Legal Department.

What you’ll do

You will be responsible for focusing on core areas of the Company’s Legal Department: (A) Employment Law; (B) Litigation; and (C) Procurement Contracts.

Employment Law: You will be the lead attorney who provides day-to-day advice to the Company’s People team, including advice relating to the Company’s human resources policies and processes. You also will be the lead attorney who is responsible for addressing the Company’s interests in potential claims relating to employment-law issues. Looking ahead, you will expand your impact by partnering with the People team to support our distributed international workforce, gaining hands-on exposure to global EOR structures and corss-border compliance.

Litigation: You will be the lead attorney responsible for providing day-to-day legal advice relating to the Company’s potential or threatened claims, as well as any civil actions taken by or against the Company. In this capacity, you will be working alongside the Company’s Senior Counsel. You will be responsible for preparing assessments of potential risks to the Company (whether as potential defendant or potential claimant) relating to the claim or action, as well as developing options that the Company could consider for any settlement.

Procurement Contracts: You will be the lead attorney responsible for providing day-to-day legal advice relating to the Company’s contract with its service providers. In this capacity, you will be responsible for working directly with the Company’s Procurement team to review and provide guidance on the contracts that service providers propose to the Company. For certain service providers, you will be working alongside the Company’s Senior Counsel or the General Counsel.

Taken together and over time, the attorney in this position should be striving to work in a more senior position in the Company’s Legal Department.

For each core area, you will be expected to research the applicable or potentially relevant areas of law, analyze the contracts or other instruments that may grant rights to (or impose obligations on) the Company, and prepare written analyses to the Senior Counsel or the General Counsel.

Apart from those three core areas of responsibilities (i.e., employment-law matters, litigation, and contracts with service providers), you will be expected to enable the Company to succeed in its business lines and operations by performing the following functions:

• Advise on and lead investigations of whistleblower-related matters; and

• Advise on, and collaborate on, revisions to the Company’s internal policies and procedures, including policies that do not relate to employment-law matters

Over time, you also will be trained to administer the standard contracts that the Company has developed for its core areas of operations—and expected to apply your own expertise, good judgment, and professional skills to improve the administration of those contracts going forward. As part of your responsibilities for working on the Company’s own standard contracts, you may be called upon to help the Sales teams with concerns or questions raised from time to time by the Company’s business customers.

Who you are

• Juris Doctor from an ABA-accredited institution and admitted to state bar in good standing

• Minimum of 2 or more years of experience at a major law firm or corporate legal department

• Minimum of 2 or more years of experience with human resources and employment-law matters, addressing issues arising under federal and state employment laws

• Experience in employment-law claims or litigation

• Experience reviewing existing- and new regulations and advising the Company on adapting its operations to comply with employment-law requirements

• Some experience in general commercial litigation

• Some experience handling employment litigation, administrative issues, and arbitration of employment claims before AAA, JAMS, or other arbitration forums

• Experience in reviewing and revising contracts, apart from employment-law matters

• Sharp attention to detail and diligence to explain, orally and in writing, the facts, circumstances, and applicable law that bear on the resolution of a matter

• Some experience with counseling clients on whistleblower claims and managing investigations relating to those claims, including reporting requirements

• Strong interpersonal skills, experience in organizing multiple assignments, and ability to work across varying levels of priorities

• Independent, self-starter capable of developing solutions that address the Company’s near- and long-term interests in related matters or areas of law

Compensation
$129,000.00 – $145,000.00 Base salary. Please Note: these figures represent a range, and the Company takes into consideration a variety of factors when determining total compensation for the position.
