About the Role

Sellers Dorsey is seeking an Assistant General Counsel who will be responsible for highly complex, difficult, and novel professional legal work for the Company as a generalist attorney with substantial healthcare experience. As the Assistant General Counsel, you will provide broad-based legal advice on healthcare-related legal issues, including federal and state Medicaid and Medicare law, and supports a wide range of corporate and commercial matters. To be successful in this role, you must have a strong working knowledge of general healthcare legal matters as well as state/local government and commercial contracting. You will be recognized as an advanced practitioner and perform work with a high degree of independence.

Key Responsibilities

• Monitor and advise the Company on healthcare requirements with a substantial focus on federal and state Medicare and Medicaid statutes, regulations, and policy and related developments, including litigation, which impact the Company’s work on client engagements; provide legal analysis of relevant healthcare-related case law and policies as well as their potential impact on client programs, policies, and operational strategy; assist in identifying related risks and support relationships with external legal counsel on healthcare-related finance and policy issues.

• Serve as a generalist attorney providing broad-based legal counsel to the Company across a range of practice areas, including corporate governance, compliance, and other general business matters; identify legal risk and provides practical, business-oriented advice to management and internal stakeholders.

• Advise on and represents the Company in contract negotiations, including state/local government and commercial contracting; examine, prepare, review, and edit contracts, procurement documents, proposals, and other legal documents from clients, subcontractors, consultants, and vendors, including drafting BAAs, Data Use Agreements, and the like.

• Assist with all phases of Mergers & Acquisitions (“M&A”) activities, including due diligence, deal documents, outside counsel management, and integration.

• Provide support on Marketing activities (reviewing external materials for legal compliance and accuracy) and assist other functional areas, including internal team projects, risk mitigation strategy, and supporting oversight and management of outside counsel engagements for general business or administrative matters.

Key Qualifications

• Law Degree from an ABA accredited institution. Admission in good standing in at least one U.S. jurisdiction is required. Admission in good standing (or the ability to obtain admission as corporate counsel within one (1) year to the Pennsylvania Bar is required.

• 5 to 7 years of professional legal experience, including broad generalist experience across corporate and commercial matters, with substantial experience in healthcare-related legal matters (e.g., Medicaid, Medicare, managed care, or provider/health system work). A combination of in-house or government and firm experience preferred.

• Broad generalist legal experience across corporate and commercial, matters.

• Knowledge of common law and state and federal laws relevant to Company business, including but not limited to Medicare and Medicaid.

• Working knowledge of M&A preferred.

• Knowledge of the principles, methods, materials, and practices of legal research.

• Ability to conduct legal research and interpret, analyze, and organize facts, evidence, and precedents and to present such material in clear and logical form.

• Ability to interpret and draft contracts and other legal instruments.

• Ability to establish and maintain effective working relationships.

• Ability to communicate effectively.

• Familiarity with contract management systems and compliance tools preferred.

Compensation & Benefits

The anticipated salary range for candidates is $130,000/year in our lowest geographic market range to up to $160,000/year in our highest geographic market range. The final pay offered to a successful candidate will be dependent on several factors that may include but are not limited to the type and years of experience within the job, the type of years and experience within the industry, the candidate’s education, and the candidate’s market location. Typically, candidates are not hired near the top of the range and compensation decisions are made based upon Sellers Dorsey’s Total Compensation Policies & Guidelines. The successful candidate will also be eligible to participate in our annual Corporate Incentive Plan (CIP) that can range to up to 15% of annual salary.

Provided they meet all eligibility requirements under the applicable plan documents, the successful candidate (and their eligible dependents) will be eligible to enroll in group healthcare plans that offer medical, dental, and vision and for insurance plans offering short term disability, long term disability, and basic life. Employees are also able to enroll in Sellers Dorsey’s 401k plan provided they meet plan requirements. Sellers Dorsey offers a Flexible Time Off that allows employees to use what they need. Additionally, we offer 16 paid holidays throughout the calendar year, paid time off for qualifying medical leave, and up to 12 weeks of combined paid parental and bonding leave.
